Job Description
The Legal Contract Analyst is responsible for analyzing and reviewing contract drafts and materials for the purposes of creating, updating and utilizing policy and contract information for external contractual documents. Responsibilities include collaborating and partnering with internal customers, navigating and completing the contract process while proactively keeping clients updated on expected turnaround times.
Responsibilities
- Creates, reviews and/or updates contractual documents such as non-disclosures, business associates, data processing, vendor agreements and other enterprise agreements for external vendors or customers.
- Provides guidance to internal customers on contractual issues, procedures, and practices ensuring compliance with company policies and all applicable federal and state regulations.
- Researches and resolves issues related to customer/vendor contracts and amendments, evaluating them against specific standard templates, contract guidebooks, and business and regulatory requirements. Provides feedback/recommendations to management for mitigation of future issues.
- Alerts management and/or Legal team of any potential or identified issues during intake and triage that may interfere with creation, review, or preparation of contractual documents for the client/customers.
- Collaborates with cross-functional teams such as Procurement, Legal, Compliance and Sales teams to ensure efficiency in managing workflow, tracking of engagements, improving processes, and accuracy of contract terms and conditions.
- Tracks, monitors, and evaluates the contract documentation process and project plans to ensure that all internal participants are completing their part of the process to ultimately ensure activities are met in the established timeframe.
- Prepares reports of open and completed items from various intake tools monthly/quarterly/annually.
- Participates in special projects as assigned.
Qualifications
- 2+ w/Bachelor’s degree
- Relevant experience in contract administration, federal, state, or commercial contracting regulations and principles. Paralegal experience highly preferred. Healthcare or benefits, including HIPAA privacy and security, experience preferred.
- Knowledge of contract lifecycle concepts, contract administration guidelines and systems, subcontracting practices, and commercial contracting terms and conditions
- Organizational and time-management skills to prioritize and manage duties in order to meet goals and deadlines
- Ability to multi-task while maintaining attention to detail
- Excellent critical thinking, analytical and problem-solving skills
- Aptitude to learn and develop proficiencies with new concepts, legal requirements, processes and technology
- Effectively able to adapt to change and comfortability in handling risk and uncertainty
- Customer-focused and excellent interpersonal skills including the ability to work with a variety of collaborators and stakeholders
- Ability to maintain confidentiality when exposed to sensitive information
- Knowledge of Microsoft Office programs, i.e. Word, Excel, Outlook etc.
Base Pay Information
The national base pay range at the end is a good-faith estimate of what Delta Dental may pay for new hires. Actual pay may vary based on Delta Dental’s assessment of the candidate’s knowledge, skills, abilities (KSAs), related experience, education, certifications and ability to meet required minimum job qualifications. Other factors impacting pay include prevailing wages in the work location and internal equity. $55,000 – $116,900
