This professional will become a leader of Aon’s dynamic, diverse Corporate Governance consulting practice, one of the largest governance consultancies in the industry. We work closely with Aon’s Executive Compensation, Equity Solutions and Human Sustainability practices, a combination of teams under one roof that offers the most comprehensive and holistic advice to clients and is unique in the marketplace. The market’s focus on Corporate Governance has never been higher. With a broad and deep perspective, Aon’s Corporate Governance team counsels clients on institutional investor viewpoints and proxy advisor policies regarding board of directors, executive compensation and equity matters, as well as securities, tax and accounting considerations, and peer practices.
The Associate Partner, Corporate Governance will be a key leader of Aon Governance’s Legal team. The position is virtual/remote. You will report to, and collaborate with, more senior members of the team to advise clients and colleagues and will assist with:
Job Responsibilities
Leadership
- Provide leadership, day-to-day direction, technical training and professional coaching to a team of associates, consultants and senior consultants
- Offer input on staffing needs to meet business demands and guide the recruitment and on-boarding of new team members
- Participate in setting strategy, annual budgets and staffing plans as a member of our regional leadership team
- Share subject matter expertise on technical issues, business development techniques, and/or project management skills with colleagues
Contribution to Sales
- Participate in creating business development strategies
- Identify current and future needs among our client base to pursue new or expanded work
- Lead the development of proposals and sales efforts
Content Development
- Contribute to the development of innovative client solutions, including new plan design or implementation approaches across multiple client engagements
- Promote brand awareness by writing articles and presenting at industry events highlighting the equity compensation expertise of Aon’s team
Required Experience
- Drafting and reviewing Compensation Discussion and Analysis (CD&A), compensation tables, termination tables and other proxy statement sections for the institutional investor and proxy advisor audience
- Drafting and reviewing equity and cash incentive plans and agreements, employment agreements, severance plans for public and private companies
- Drafting and reviewing clawback policies, stock ownership guidelines, 10b5-1 plans and insider trading policies
- Counseling on equity outsized one-time grants / founder grants and underwater stock option exchanges
- Drafting and reviewing ESPPs and related disclosure
- Performing compensation risk assessments
- Drafting and advising on SEC Pay vs. Performance disclosure
- Consulting on the application of securities, tax, stock exchange, and proxy advisory firm provisions to situations or proposals
- Performing research on a variety of corporate governance, legal and other matters
- 8+ years of relevant legal work experience in executive compensation matters, securities law, employment law, or tax law
- Strong consultative skills, including relationship building, process skills, and facilitation skills
- Collaborative disposition and approach and experience working with teams and/or leading small teams
- Ability to understand and analyze business problems, break down problems to identify root cause issues, and identify solutions
- Ability to develop slide decks in PowerPoint
- Strong written and verbal communication skills and attention to detail; strong research skills
- Knowledge of financial markets and ability to grasp financial concepts
- Knowledge of compensation strategy, design, and implementation, including base pay, annual incentives, and recognition
- Ability to manage, model, analyze, and manipulate data, using software such as Excel
- Familiarity with global reward principles and practices
- Ability to multi-task and manage multiple complex projects in fast-paced, loosely-structured and deadline-oriented environment
- Maturity to operate independently, yet maintain open communication with team members on changing landscape/priorities
- Track record of success in terms of historical performance rating and/or utilization (billable hours / total hours)
Education:
Juris Doctor degree – with strong undergraduate or graduate academic record in Economics, Finance, Accounting, Corporate Finance or related subjects.

The salary range for this position is $225,000.00 to $275,000.00 annually. This salary range is an estimate and the actual salary will vary based on applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant’s geographic location.
This position is eligible to participate in one of Aon’s annual incentive plans. The amount of the incentive varies and is subject to the terms and conditions of the applicable incentive plan.
