Position Overview:

The Counsel – Investments is responsible for providing legal advice to support all facets of the Starr Insurance Companies group investment activities, including investments relating to its private equity, private debt, direct, real estate, alternative, and proprietary investments portfolios, working closely with the Corporate Investment, Tax, Treasury and Private Equity teams.

Principal Duties and Responsibilities:

• Provide legal advice to Starr Insurance Companies investment activities throughout the group worldwide.
• Review and negotiate related investment contracts including subscription documents, limited partnership agreements, side letters, investment management agreements, custodian agreements, and private placement memoranda.
• Assist the real estate investment team in the structuring, negotiation and closing of acquisitions and dispositions or real estate properties and financing. Draft and review relevant transactional documents.
• Advise on investment regulatory matters including insurance regulatory advice, e.g. permissible portfolio investments and investment policies and securities advice as needed.
• Support the corporate governance function by preparing requisite board and committee approvals for investments, drafting resolutions, entity formations, etc. Oversee and advise on the economic substance and beneficial ownership filing requirements.
• Monitor and provide support for post-closing business deliverables (e.g. vendor agreements, amendments to LPA’s, GP consents, service agreements) and ongoing monitoring of investments (e.g. fund extensions, key person events, loan refinancing, broker engagements, litigation support).
• Oversee and direct the engagement and work product of outside counsel.
• Prepare SEC filings as applicable.
• Provide legal review and support on commercial contracts as needed.

Qualifications:

• J.D. from a U.S. accredited law school and license to practice law in good standing in the U.S.
• At least 7 years’ relevant experience in a nationally recognized law firm, an in-house legal department or a private equity firm.
• Experience with the insurance industry a plus.
• Strong written and oral communication skills.
• Analytical, project management, organizational and leadership skills.
• Ability to interact and collaborate with legal colleagues and personnel throughout all levels of the organization.
• Ability to multi-task and prioritize workload in a fast-paced, dynamic environment.
• Highly motivated, meticulous, and able to work independently.

For individuals assigned and/or hired to work in New York, Starr Insurance Companies is required by law to include a reasonable estimate of the compensation range for this role. The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets: experience and training: licensure and certifications: and other business and organizational needs. A reasonable estimate of the current range is $225,000-$250,000
