Provide legal advice and transactional support within the US Contracts Organization supporting global transportation & logistics business as well as providing advice and counsel for a variety of other commercial contracting needs for the acquisition of goods and services from suppliers. Coordinate the delivery of these transactional Legal services with cross-functional and subject matter experts within Medtronic.
This position reports to the Sr. Legal Director, US Commercial Contracts, US Commercial Contracting Organization.
This position ideally will reside in Minneapolis, MN or Memphis, TN, but could sit in another US Medtronic office location or work remote.
A Day in the Life
Responsibilities may include the following and other duties may be assigned.
Analyze, draft and negotiate commercial contracts with suppliers for a broad variety of goods and services, including, complex procurement contracts, transportation and logistics contracts, and data privacy contracts.
Draft and review global distribution & logistics agreements and support global supply chain organizations.
Collaborate with key stakeholders on the recommended structure of the agreement.
Partner with other subject matter experts across a global matrixed organization, including coordination with Security, Privacy, Compliance, Regulatory, Quality, Federal Contracts and Trade Compliance.
Work collaboratively with other lawyers, paralegals and administrative staff to provide the legal support for the areas described above.
Collaborate with legal staff in multiple legal workstreams to develop and implement common approaches and templates.
Participate in other projects as assigned or as needed.
Must Have: Minimum Requirements
JD from a nationally recognized law school.
Licensed to practice in at least one US state or the District of Columbia.
8+ years of experience drafting and negotiating contracts as a practicing attorney
Nice to Have
Demonstrated ability and experience with software licensing, technology solutions, research and development services, cloud hosted solutions, professional services, facilities, sourcing agreements, general contracts
Advise on terms related to licensing, ownership, and security (both US and OUS); and other key contract terms
Complex commercial transactions involving technology solutions, development agreements, and/or licensing
Flexibility, adaptability, responsiveness, and collegiality
Ability to perform in fast-paced environment with competing priorities
Experience negotiating sourcing-supply contracts
Experience working with information technology supplier agreements
Experience in licensing
Strong academic credentials
Experience at a law firm and/or in-house
Analytical risk identification, evaluation, and management skills
Ability to accelerate change
Excellent written and verbal communication skills
Ability to work on multiple projects, in diverse substantive areas, at the same time
Experience working within a highly matrixed organization
